1. THE BINDING AGREEMENT
These Legal Terms constitute a formal contract between you (the “Customer”) and Nano Labs & Co (“we,” “us,” “our”), based in Los Angeles, California. By accessing our website, purchasing our ARK systems, or using our services, you confirm that you have read and agreed to these terms in their entirety. If you do not agree, you are not authorized to use this site or purchase our products.
2. PRODUCT PERFORMANCE & USAGE
- Professional Grade: ARK is a high-performance, non-toxic, and eco-friendly waterproofing additive. While safe to handle, it is designed for professional construction environments.
- Application Responsibility: We provide the technology, but the Customer is responsible for the execution. Nano Labs & Co is not liable for leaks, property damage, or project failures resulting from poor surface preparation, incorrect mixing ratios, or environmental interference during application.
- Safe Storage: To maintain product integrity, buckets must be stored in a climate-controlled environment (between 40°F and 90°F). We are not responsible for product spoilage caused by freezing or excessive heat after delivery.
3. FINAL SALE & NO-REFUND POLICY
To maintain strict quality control and ensure the chemical integrity of our systems, ALL SALES ARE FINAL. * Because we cannot verify the storage conditions or tampering of products once they have left our facility, we do not accept returns or issue refunds under any circumstances.
- By completing your purchase, you waive the right to initiate a chargeback or payment reversal based on a change of mind or project cancellation.
4. LOGISTICS & FREIGHT OBLIGATIONS
- Shipping & Transfer of Risk: For all orders, the “Risk of Loss” passes to the Customer the moment the product is handed to the carrier. We are not responsible for carrier delays or weather-related transit issues.
- Unloading & Equipment: For palletized orders (10+ buckets), it is the Customer’s duty to provide a forklift or loading dock. If a Liftgate Service or Residential Delivery is required, the Customer agrees to pay all associated surcharges. These fees may be invoiced separately if not disclosed at checkout.
- Arrival Inspection: If a bucket arrives structurally compromised (leaking), you must email photographic proof to [email protected] within 48 hours. Valid damage claims will be settled with a product replacement, not a cash refund.
5. OWNERSHIP OF CONTENT
All website content, including product descriptions, technical data sheets, branding, and imagery, is the exclusive property of Nano Labs & Co. Any unauthorized commercial use, reproduction, or distribution of our intellectual property is strictly prohibited.
6. DISPUTE RESOLUTION & LOCAL JURISDICTION
- Governing Law: This agreement is governed by the laws of the State of California.
- Mandatory Arbitration: Any legal dispute that cannot be settled through direct communication will be resolved through binding arbitration in Los Angeles County, California.
- Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive the right to participate in a class-action lawsuit or class-wide arbitration.
7. LIMITATION OF LIABILITY
In no event shall Nano Labs & Co be liable for any indirect, incidental, or “consequential” damages (such as lost profits or labor costs) related to your use of the ARK system. Our maximum financial liability to you is strictly limited to the total dollar amount you paid for the product.
